These Terms & Conditions (“Terms”) govern your access to and use of Avatarly AI, including our website, apps, and AI-powered photo-to-video, face swap, hairstyle change, and body reshaping tools (together, the “Service”), operated by Avatarly AI (“Avatarly AI,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms. If you don’t agree, please don’t use the Service.

1. Eligibility

  • You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. The Service is not directed to children under 13 (or under 16 in the EEA/UK).
  • By using the Service, you confirm that you meet this age requirement and that you have the legal capacity to enter into these Terms.

2. Your Account

  • You’re responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
  • You must provide accurate information when creating an account and keep it up to date.
  • We may suspend or terminate accounts that violate these Terms, are inactive for an extended period, or pose a security risk.

3. The Service

Avatarly AI lets you upload photos and videos to generate AI-powered outputs, including:

  • Photo-to-video generation
  • Face swap using video templates
  • AI hairstyle change
  • AI body reshaping

Outputs are generated using artificial intelligence and may be processed in part by third-party AI and cloud infrastructure providers on our behalf (see our [Privacy Policy] for details). AI-generated results are approximations and may not always be accurate, realistic, or free of visual artifacts.

4. Your Content & License You Grant Us

  • You retain ownership of the photos, videos, and other content you upload (“Your Content”).
  • By uploading Your Content, you grant Avatarly AI a limited, non-exclusive, worldwide, royalty-free license to use, process, host, and store Your Content solely to operate the Service — including generating your requested face swap, hairstyle change, body reshape, or video output, and for the limited safety/quality purposes described in our Privacy Policy.
  • This license ends when Your Content is deleted from our systems, except where retention is required for legal, safety, or backup purposes for a limited period.
  • You represent and warrant that:
    • You own or have all necessary rights, licenses, and consents to upload and use Your Content;
    • If Your Content includes another person’s face, likeness, or voice, you have that person’s permission to use it with the Service;
    • Your Content doesn’t infringe any third party’s intellectual property, privacy, or publicity rights.

5. Acceptable Use

You agree not to use the Service to:

  • Upload or generate content depicting real, identifiable people without their consent, including non-consensual face swaps, intimate imagery, or “deepfakes” intended to deceive, defame, harass, or embarrass someone
  • Upload or generate content involving minors in any sexualized, exploitative, or otherwise harmful context
  • Impersonate any person or entity, including public figures, in a way intended to mislead or defraud
  • Create content that is defamatory, obscene, hateful, violent, or that infringes any third party’s intellectual property or publicity rights
  • Use the Service for any unlawful purpose, or to violate any applicable local, national, or international law
  • Attempt to reverse-engineer, scrape, or misuse the underlying AI models or infrastructure
  • Upload malware, spam, or attempt to disrupt or overload the Service

We reserve the right to review, remove, or restrict any content, and to suspend or terminate accounts, that we reasonably believe violate this section — with or without notice.

6. AI-Generated Content Disclaimer

  • Outputs are generated automatically by AI models and may contain errors, distortions, or unintended results.
  • Avatarly AI does not guarantee that any output will be accurate, suitable for a particular purpose, or free from resemblance to real people other than the person depicted in Your Content.
  • You are solely responsible for how you use, share, or publish any content generated through the Service, and for ensuring that use complies with applicable law and third-party rights.
  • Where legally required, you agree to clearly label AI-generated or manipulated media (e.g., face-swapped video) when sharing it publicly, so viewers aren’t misled into believing it’s an unaltered recording.

7. Subscriptions, Payments & Refunds

  • Certain features may require a paid subscription or one-time purchase, as described at checkout.
  • Subscriptions renew automatically at the then-current price unless cancelled before the renewal date.
  • You can cancel anytime from your Account Settings; cancellation takes effect at the end of the current billing period.

  • Prices may change with advance notice; continued use after a price change constitutes acceptance of the new price for future billing cycles.

8. Intellectual Property

  • These Terms don’t grant you any rights to our trademarks, logos, or brand assets without our prior written permission.
  • Feedback you provide about the Service may be used by us without any obligation to compensate you.

9. Third-Party Services

The Service may rely on or link to third-party services (e.g., payment processors, AI/cloud infrastructure providers, sign-in providers). We aren’t responsible for the practices or content of third-party services, which are governed by their own terms and privacy policies.

10. Termination

  • You may stop using the Service and delete your account at any time.
  • We may suspend or terminate your access to the Service, with or without notice, if you violate these Terms, misuse the Service, or if we discontinue the Service.
  • Sections that by their nature should survive termination (e.g., Intellectual Property, Disclaimers, Limitation of Liability, Governing Law) will continue to apply.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT WARRANT THE ACCURACY, QUALITY, OR REALISM OF ANY AI-GENERATED OUTPUT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AVATARLY AI AND ITS OFFICERS, EMPLOYEES, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE [12 MONTHS] BEFORE THE CLAIM AROSE, OR [US $100], WHICHEVER IS GREATER.

Some jurisdictions don’t allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless Avatarly AI and its officers, employees, and partners from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: your use of the Service; Your Content; your violation of these Terms; or your violation of any third party’s rights.

14. Governing Law & Disputes
